Announcement of Organizational Reforms and Personnel Changes

At today's Board of Directors Meeting, Yamaha Motor Co., Ltd. resolved to implement the following organizational reforms and personnel changes, effective January 1, 2013.

1.

Corporate functions will be strengthened in order to further advance global management.

·

The Human Resources & General Affairs Section and the Corporate Planning & Finance Section will be raised to the organizational status of "Center" and renamed the Human Resources & General Affairs Center and the Corporate Planning & Finance Center respectively.

·

The Tokyo Office of the Human Resources & General Affairs Section will be renamed the Government & Industrial Affairs Division to clarify its function.

2.

Reviews and revisions will be conducted of the Technology Center's organization and functions in order to further strengthen our technology infrastructure companywide and increase the quality and speed of the advanced technology development process.

a.

Reorganization of the Technology Infrastructure Section
The following organizational changes will be made to strengthen technology infrastructure management:

· The Technology Infrastructure Section will be renamed the Technology Planning Section.

· The current Technology Planning Division under the direct supervision of the Technology Center will be reorganized as the new Engineering Management Division within the Technology Planning Section.

· The Computer Aided Engineering Division will be renamed the Digital Engineering Division.

b.

Reorganization of the Advanced Development Section
The following organizational changes will be made to strengthen our fundamental technology and advanced technology development.

· A progressive reorganization will eliminate the Project Development Division and Advanced Development Division within the Advanced Development Section.

· A new Powertrain Development Division will be established and consolidate all the powertrain development functions of the Powertrain Technology Research Division, Advanced Development Division as well as the Project Development Division into one.

· A Vehicle System Development Division will also be newly established and will consolidate a portion of the functions of the Advanced System & Safety Technology Research Division and all the vehicle development functions of the Advanced Development Division into one.

3.

Reorganization of the divisions within the Cost Innovation Section will be performed in order to further strengthen product competitiveness with a focus on platform activities and to reduce costs with a comprehensive approach that integrates manufacturing, procurement and technology (engineering) innovatively and globally.

a.

Cost Innovation Division

· To strengthen overall cost reduction functions, the core cost reduction functions of Motorcycle Business Operations will be transferred to the Cost Innovation Division and platform cost reduction functions will be added.

b.

PJ Management Division

· In order to strengthen management of cost development for new models, functions that promote model-based concurrent engineering and functions that apply concurrent engineering to platform components and other individual parts will be integrated in the reorganized PJ Management Division.

4.

The functions of Business Development Operations will be strengthened in order to advance the development of new businesses with the aim of increasing overall business scale.
UMS Business Development Section newly established

The Unmanned Aerial Vehicle Business Development Section of Business Development Operations will be reorganized as the UMS (Unmanned System) Business Development Section.

·

Within the UMS Business Development Section, a Marketing Division and Engineering Division will be established.
