Announcement of Organizational Reforms and Personnel Changes

At today's Board of Directors Meeting, Yamaha Motor Co., Ltd. (the "Company") resolved to implement the following organizational reforms and personnel changes, effective January 1, 2011. The measures aim to help the Company progress in its structural reforms and forward its growth strategies.

1.

Business Development Operations established

A new "Business Development Operations" will be established to direct efforts in new growth areas and broaden the scope of business development based on technology common to the Company's IM, Smart Power, Unmanned Aerial Vehicle and powered products* operations. The new Business Development Operations will consolidate the operations of the existing IM Business Unit and the newly reorganized "Smart Power Vehicle Business Unit" (currently called the Smart Power Business Development Managing Unit), as well as the Pool Business Development Section and Unmanned Aerial Vehicle Business Development Section, which are to be transferred from the Business Development Managing Unit.

[IM Business Unit]

・

The "Business Project Division" will be reorganized to clarify its functions in the areas of growth strategies and planning of operational reforms.

[Smart Power Vehicle Business Unit]

・

The "Business Planning Division," "Marketing Division," "Technical Administration Division," "PAS Development Division," "EV Development Division" and "Quality Assurance Division" will be placed under this Business Unit.

2.

Integrated Auditing Division established

・

To improve the effectiveness and efficiency of the Company's internal auditing functions, the auditing functions of the Internal Control Auditing Division and the Group Administration Division, Human Resources & General Affairs Section will be integrated and consolidated, and a new "Integrated Auditing Division" established under the immediate supervision of the President.

Integration and restructuring of sections

To improve operational efficiency and streamline the organization of corporate divisions, the Human Resources & General Affairs Section, Finance & Accounting Section and Corporate Planning Section will be integrated and restructured into the Human Resources & General Affairs Section and the "Corporate Planning & Finance Section."

The Tokyo Office and Legal & Intellectual Property Division, which are currently under the Corporate Planning Division, will be transferred to the Human Resources & General Affairs Section. Likewise, the public relations functions of the Corporate Planning Division, and the Advertising Division will be integrated and established as the "Public Relations & Advertising Division," which will be transferred to the "Human Resources & General Affairs Section."

The reorganized "Group Administration Division" of the Human Resources & General Affairs Section will be responsible for risk management and compliance, improvement of governance efficiency in Group companies, and the creation and development of internal control systems.

The CSR Planning Division, Human Resources & General Affairs Section will be dissolved after the transfer of its current functions to the Human Resources Development Division, General Affairs Division, the Corporate Planning Division, the "Public Relations & Advertising Division" and the "Group Administration Division."

Strengthening of safety and design initiatives

Product Assurance & Safety Promotion Center established

・

On the addition of functions for handling safety initiatives, the Product Assurance Center will change its name to the "Product Assurance & Safety Promotion Center."

・

Within that Center, a new "Safety Promotion & Traffic System Division" will be established, combining functions for (1) deploying safety measures in relation to product use, and (2) utilizing traffic systems and infrastructure information to improve safety in development and product use.

5.

Establishment of "Corporate Design Division" within the Technology Center and the "Design Division" within Motorcycle Business Operations

・

In order to increase competitiveness in product design, a new "Corporate Design Division" will be established under the immediate supervision of the Technology Center.

・

A new "Design Division" will be established within the Product Planning Section, Motorcycle Business Operations to strengthen design in motorcycle products. Its function will be to examine product strategies from a design perspective.

Motorcycle Business Operations

[1st Business Unit and 2nd Business Unit established]

To enhance sales functions and clarify regional operations' responsibilities, the Business Strategy Section and the Sales Section will be integrated and divided into two major regions as the "1st Business Unit" and the "2nd Business Unit."

・

In addition to coordinating functions for the whole of Motorcycle Business Operations, the "1st Business Unit" will primarily be in charge of Asia, China and Central and South America, and will include the "Business Planning Division," "Cost Planning Division," "Asia Marketing & Sales Division" and the "China & CSA Marketing & Sales Division."

・

The "2nd Business Unit" will primarily be in charge of Europe, North America, Oceania and Japan, and will include the "Cost Planning Division," "Europe Marketing & Sales Division" and the "Japan, North America, Australia & New Zealand Marketing & Sales Division."

[Recreational Vehicle Business Unit established]

・

A new "Recreational Vehicle Business Unit" with integrated planning, technology and sales functions will be established within Motorcycle Business Operations, and will include the "Business Promotion Division" and "Engineering Division."

[Engineering Section]

・

The names of the 1st Body Development Division and the 2nd Body Development Division will be changed to "1st Motorcycle Development Division" and "2nd Motorcycle Development Division."

・

To enhance the Engineering Administration Division's strategy functions, it will be renamed the "Engineering Strategy Division."

・

The Homologation Division will change its name to the "Regulation & Homologation Division" in order to clarify its focus on regulatory trends.

7.

Marine Business Operations

[Marine Engine Business Unit]

・

To strengthen competitiveness and promote prompt spread of policies, the Cost Development Section will be dissolved and its functions transferred to the "Cost Planning Division," under the immediate supervision of the Marine Engine Business Unit. The Manufacturing Section will also be dissolved, and the Production Promote Division, Fukuroi South Factory, which are under that Section, will be placed under the immediate supervision of the Business Unit.

In the Engineering Section, the digital engineering function will be separated from the Design Division and a new "Digital Engineering Division" will be established to enhance CAE and other development capabilities.

In order to promote the strategic use of product technology information and enhance the pace and competitiveness of product development, a new "Information Engineering Division" will be set up within the Technology Infrastructure Section.

Procurement Center

[Procurement Section established]

A new "Procurement Section" will be established to promote structural reform in global procurement and improve product competitiveness.

The Procurement Planning Division, "Global Procurement Division" and "Global Procurement Quality Control Division" will be placed in that Section.

*Powered product operations manufactures and sells portable and commercial-use generators, multipurpose engines, snow throwers and golf cars, etc.
