Announcement of Organizational Reforms and Personnel Changes

At today's Board of Directors Meeting, Yamaha Motor Co., Ltd. (the "Company") resolved to appoint an Assistant to the Acting President and to implement the following organizational reforms and personnel changes, effective January 1, 2010. The restructuring is designed to accelerate the Company's structural reform to full speed.

■Assistant to the Acting President

The Company has appointed Senior Executive Officer Hiroyuki Yanagi as Assistant to the Acting President, effective January 1, 2010. He will serve for the period to March 25.

■Organizational reforms (effective January 1, 2010)

Global Corporate Administrative Center Dissolved

●

In order to improve the speed and quality of management decision-making, the Global Corporate Administrative Center will be dissolved, and replaced by three new units under the direct control of the President: the General Affairs Section, Finance & Accounting Section, and Corporate Planning Section. In addition, the units presently under the immediate supervision of the Corporate Planning Division and Global Corporate Administrative Center will be consolidated into these new Sections, as determined appropriate.

Security Trade Control Center Dissolved

●

In order to synergistically strengthen and streamline trade control in line with the ongoing development of the corporate trade management system, the Security Trade Control Center will be dissolved, and consolidated into the new Logistics and Security Trade Division of the Finance & Accounting Section.

Product Assurance Center

●

A new Technical Publication Division will be formed to help enhance the quality of service / parts information and the management system as a whole, thereby improving product safety and reliability.

Technology Center

●

Seeking to strengthen the technical foundation of all engineering functions and technical infrastructure across all sectors, a Technology Infrastructure Section will be established, incorporating corporate engineering functions transferred from Motorcycle Business Operations.

Manufacturing Center

●

To improve manufacturing efficiency across all business sectors, the Hamamatsu Marine Factory - presently part of the Marine Business Operations' Manufacturing Section, Marine Engine Business Unit - will be transferred to the Manufacturing Center's Engine Manufacturing Section. The name of the factory will be changed to Hamamatsu South Factory.

Procurement Center

Cost Innovation Section established

In the drive to reduce manufacturing costs by consolidating development, procurement and manufacturing, a Cost Innovation Section will be established. Three sectors will be transferred and integrated into the new organization: the Manufacturing Innovation Engineering Division from the Manufacturing Center’s Manufacturing Planning Section; the CE Development Division from the Procurement Center; and the Cost Innovation Division from the Motorcycle Business Operations’ Engineering Section.

ME Procurement Division Dissolved

The ME Procurement Division will be dissolved, its functions integrated into the CE Development Division and Global Procurement Division. The move is designed to strengthen marine engine procurement and improve operational efficiency.

Motorcycle Business Operations

●

In order to further strengthen the competitiveness of the motorcycle, commuter vehicle and recreational vehicle businesses and to clarify their respective responsibilities, the Motorcycle Business Section and Commuter Vehicle Business Section will be integrated into a new Sales Section.

Engineering Section

・	The Component Development Division will change its name to Electronics System Development Division.
・	The Product Testing Division will be divided into the Product Engine Testing Division and Product Vehicle Testing Division.
・	The Technology Development Division will change its name to Advanced Development Division.
・	A new Motor Sports Development Division will be established.

Smart Power Business Development Managing Unit Established

In order to help realize the Company's "Smart Power" engineering concept - creating breakthrough power sources with minimal environmental impact and maximal joy derived from new technologies - a new Smart Power Business Development Managing Unit will be established. Concurrently, the PAS Business Development Section of the Business Development Managing Unit and the Electric Vehicle Business Development Section will be placed under the new unit.
