Merger between Yamaha Robotics Holdings and its subsidiaries

IWATA, February 12, 2025 - Yamaha Motor Co., Ltd. (Tokyo: 7272) announced today the decision to merge its wholly-owned subsidiary, Yamaha Robotics Holdings Co., Ltd., with Yamaha Robotics Holdings' wholly-owned subsidiaries, namely Shinkawa Ltd., Apic Yamada Corporation, and PFA Corporation (hereinafter the merger among these four companies is referred to as the "Merger").
Through the Merger, the combined company will accelerate value creation beyond customer expectations, striving to become the world's leading total solution provider in semiconductor back-end processing and electronic component mounting.

1. Method of the Merger
The merger is an absorption-type merger where Yamaha Robotics Holdings Co., Ltd. as the surviving company will absorb Shinkawa Ltd., Apic Yamada Corporation, and PFA Corporation, which will be dissolved on the effective date.
As of the effective date, Yamaha Robotics Holdings Co., Ltd. will be renamed to Yamaha Robotics Co., Ltd.

Merger agreement signing date: March 31, 2025 (planned)
Effective date of the Merger: July 1, 2025 (planned)
