Yamaha Motor Announces Top Management Changes -New Directors and Executive Officers, Including President-

When President, Chief Executive Officer and Representative Director Tsuneji Togami was admitted to a hospital for medical treatment, Managing Executive Officer and Representative Director Takaaki Kimura began serving as acting President on an emergency basis, effective December 4, 2009. In a Board of Directors Meeting on the morning of December 22, Yamaha Motor Co., Ltd. (the "Company") took action to reorganize the management system, which will include the change in the President's post. The Board's decision will take effect officially March 25, 2010. This reorganization will further the drive for structural reform, designed to rebuild the Company and strengthen the foundation for sustainable growth into the future.

Specifically, Tsuneji Togami will resign from his current position as President, Chief Executive Officer and Representative Director as of March 25, 2010, and he will be succeeded in the post by the current Senior Executive Officer, Hiroyuki Yanagi. Meanwhile, in forming a new management team, candidates have been selected to replace four Directors scheduled to resign. In addition, the plans call for changes in eight Executive Officer positions, with four new Executive Officers to be appointed, while one will resign.

Managing Executive Officer and Representative Director Takaaki Kimura will remain as acting President until March 25, 2010. On that date, the changes in Directors' posts are scheduled to be adopted officially in the Annual Meeting of Shareholders and approved in the Board of Directors Meeting to immediately afterward.

President Tsuneji Togami's resignation address

I would like to apologize for the inconvenience to so many people that the recent turn of events has caused, with the management system changing once again, so soon after I was appointed as acting President.

Unfortunately, it seems my medical treatment will take longer than was originally expected. It now appears that I will be unable to return to work until the spring, and I strongly believe we cannot afford to delay our structural reform or let it stall. Thus, I have resolved to organize a new management team of young and capable staff. Moreover, I have implemented the decision before the process that will make it official, so that they can start on their vital work right away. I am convinced that the new team will take action to revitalize Yamaha Motor with bold group-wide efforts.

I am committed to fulfilling the great responsibilities of my new position as President of Yamaha Motor at this crucial moment for the Company, amid a very severe business climate. I will dedicate myself to implementing speedy structural reform, transforming the Company to greater profitability, and reaching our management goals, powered by the united efforts of all our employees.

I have spent most of my career in the manufacturing sector, including the management of our overseas subsidiaries in Europe and the United States. Like every other Yamaha Motor employee, it is my fervent desire to see the Company continue to shine as a great manufacturer into the future. As I carry out my duties and responsibilities, I will do everything within my power to realize that vision.
