Yamaha Motor Co., Ltd. (the “Company”) will make organizational and personnel changes, described below, effective July 1, 2006. |

The organizational changes aim to strengthen the corporate system and thereby promote the implementation of the new medium-term management plan, NEXT50-Phase II. In addition, the changes standardize the names and clarify the hierarchy of organizations, making the organizational structure easier to understand for individuals inside and outside the Company. In terms of business and management objectives, the Company intends to review the status of corporate organizations in order to strengthen the promotion of CSR*, enhance the internal control system, and maximize brand value. |

Standardizing the names and clarifying the hierarchy of organizations |
In a bid to standardize the naming of organizations, the Company has unified the designations that can be used at each hierarchical level.
The top-tier organization is “Headquarters,” followed by “Operations” or “Company.” Organizations below the Operations/Company level will be designated “Division,” “SyS* Division” or “Factory,” depending on their function. At the base of the corporate hierarchy are organizations to be known as either “Group” or “Sales Office.”

Review of corporate organizations |
The status of corporate organizations will be reviewed with an eye to strengthening CSR promotion, enhancing the internal control system, and maximizing brand value. |
In addressing one of the crucial issues in the new medium-term management plan -- strengthening CSR promotion -- the Company will spin off the CSR Promotion Team from the Corporate Planning Division and reformulate the organization as the CSR Planning Division. It will be dedicated to planning and promoting activities that enhance corporate social responsibility, risk management and compliance. |

In order to strengthen public relations and bolster the internal control system, the Tokyo Office will be spun off from the Public Relations and Corporate Secretary Division, and divided into a Public Relations Division and an General Affairs Division Secretary Group. Meanwhile, the Finance & Logistics Division will be divided into a Finance & Accounting Division and a Logistics Division.
The Company established the General Affairs Division to support corporate activities companywide, such as promoting external affairs operations and internal management. It will serve the functions previously provided by the Corporate Communication and Administration Division. The former Secretary Group is also combined into the General Affairs Division. |
In order to maximize brand value by promoting brand strategies, the Brand Design Management Office -- established in January 2006 -- will be dissolved and reestablished as the more expansive Brand Management Operations. |
