Notice Regarding Dissolution of Yamaha Motor's Subsidiary

In the Meeting of the Board of Directors held on February 6, 2004, Yamaha Motor decided to dissolve Mint Co., Ltd., a consolidated subsidiary of Yamaha Motor Co., Ltd. The details of the dissolution are as follows.

 

1. Outline of the subsidiary

Mint Co., Ltd.

Location:

1280-1, Nakajo, Hamakita-shi, Shizuoka Prefecture, Japan

Representative:

Shigeru Nakamura

Capital:

4,800,000 yen

Business line:

Manufacture and sales of automation equipment, specialized machines and jigs; manufacture and sales of precision forging molds.

Ownership:

Yamaha Motor Co., Ltd. 97%


2. Reason of dissolution

Mint Co., Ltd. was established in April 1987. Since then, the company has helped advance the domestic and overseas production activities of the Yamaha Motor Group by promoting automation of factory equipment and compact general-purpose machines worldwide. However, in response to changing business conditions surrounding the company, including the recent dramatic shift of design and manufacturing functions for equipment, jigs and molds overseas, Yamaha Motor decided to dissolve Mint Co., Ltd. and transfer its business operations to Yamaha Motor.


3. Schedule

The dissolution is scheduled to take effect on June 30, 2004.


4. Future prospects

The dissolution of this subsidiary will have a slight impact on the consolidated and non-consolidated financial results of Yamaha Motor Co., Ltd.
